Director and Secretary resigned 1 Year, 12 Months ago  
A small building company I employed had their director and secretary resign. They did not tell me and the third director was way on holiday. Did they have any right to continue working for me? Consequently they have gone bump owing large amounts to creditors - I paid the builder enough money to cover all his suppliers and his existing debts but they did not pass on the money. No reason for them to go voluntary liquidation. Do I have any obligations past the resignation date? As an aside I paid them in advance for a lot of the work to buy materials and am out of pocket picking up the balance of the work.

Companies Act 2006 Compliant

You can resign a director or secretary from a private limited company directly with Companies House. To resign a director or secretary you will need to complete Companies House form TM01 (director) or TM02 (secretary). To complete forms TM01 and TM02 you will be asked to provide the following information:

* Company Number
* Company Name
* Date of Resignation
* Date of Birth
* Full name of director/secretary
* Position from which the individual is being resigned
