Partners - company law 3 Years, 3 Months ago
Hello,

can 3 partners get rid off the fourth one just by voting him out?

If yes, would it still be possible for him to get his dividends?

Thanks for your help!

The question is confused in itself. Partners are in a partnership, dividends are paid to shareholders of a company.

Thanks for that.... another question. Can the Socio-Gerente with whom I have a 50/50 equal partnership with in the company, and with whom I agreed to be designated Socio Gerente pass on this responsibility to a third party, who has no shares whatsoever in the company. He has given power of attorney to this third party and I was not consulted. Any help appreciated! Thanks

Another thing you should be aware of is that you will not be qualified to be a general counsel for a mid-size tech company with only 2-3 years of experience. You will need 5-8 years of experience to be marketable for most general counsel positions at small to mid-sized companies.

3 business partners can not just simply kick out the fourth partner, not unless there is some type of contractual stipulation making this possible. The 3 partners usually would have to offer to buy out the fourth. It sounds like you are in a sticky situation. You should be careful who you go into business with. Good luck to you.

This is the best thing to remember when doing partnership in business. Instances, situation like the one you are into is inevitable.

May we know, why you want to kick out the 4th business partner? if you don't mind sharing it to us.
