I have a dilemna.

If a company is formed before Oct 07, hence model Table A 1985 applies. If the company wishes to hold members meetings by written resolution then:

a) would all members need to agree (ie as in 1985 Table A)

or

b) the provisions of 2006 act come into force automatically and override the STANDARD 1985 TABLE A. Hence the company can pass ordinary resolution by 50% plus majority.

Does anyone know the answer.

I guess the question is that do the CA 2006 automatically overide.

See section 288(4) CA 2006 on the relationship with earlier enactments and section 300 on the relationship with the company's articles.

They seem to me to mean that the procedure in CA 2006 will prevail on this.

CA 2006 prevails once it is in force and you should then be able to change the articles to fit using the new procedure.
