Good Day to All,

I invested in a previously existing company, incorporated in N. Ireland. I made a significant capital contribution and have original Board Resolutions confirming sale of shares, duly notarised and legalised. However, the actual share certificates were never issued. The original owner / director deferred the issuance of certificates for a later date and as I trusted him fully, did not pursue this.

I was satisfied that since I have paid the capital contribution and have the Board Resolution, the company secretary will issue the shares in due course and enter into the register.

This has never been done and in fact the company records still show the original shareholding as well as the original capital (i.e. the money I injected does not show up.)

My question is; if I don't have actual shares in hand, am I not a shareholder? What significance and value do the board resolutions hold? The fact that I paid into the company, does this have any meaning?

Since then the company was sold onto others who equally want to be ignorant of this lapse.

What should I do?
