Hello, this has been bothering me, so hopefully someone will be able to help.

If a person is a director on the board of 2 companies, and there is a substantial transaction between the 2 companies for the purchase of land...does this director's potential breach come under s175 OR is this covered by the provision in s175(3) and as such is dealt with under s177?

If that is the case then it's a matter of disclosure rather than going through case law like Regal v Gulliver to define a corporate opportunity.

Do I have this right?
